These Terms & Conditions (“Terms”) govern all services offered under the brand name ColdBox, owned and operated by Thermoforge Dynamics Private Limited (“Company”, “we”, “our”, or “us”). By accessing, registering on, or using our website www.coldbox.in or availing our services, you agree to be legally bound by these Terms in accordance with the Indian Contract Act, 1872.

1. Definitions

• “Platform” means the ColdBox website, digital forms, dashboards, communication systems, and related tools.

• “Services” means temperature-controlled logistics, cold storage coordination, refrigerated transportation, tracking, invoicing, and related solutions offered by ColdBox.

• “Client/User” means any individual, business, SME, or enterprise availing ColdBox services.

• “Partner/Vendor” means third-party transporters, drivers, or logistics partners engaged by ColdBox.

• “Shipment/Consignment” means goods booked, transported, or handled through ColdBox.

2. Eligibility

• Users must be 18 years or older and competent to contract under Indian law.

• Businesses must act through authorized representatives.

• By using our services, you confirm that you have the authority to bind yourself or your organization to these Terms.

3. Scope of Services

ColdBox provides cold chain and temperature-controlled logistics services, including but not limited to:

• Refrigerated and insulated vehicle allocation

• Pickup and delivery of perishable and temperature-sensitive goods

• Temperature monitoring and compliance tracking

• Route optimization and scheduling

• Proof of Delivery (POD) and invoicing

ColdBox may engage third-party logistics partners for service fulfillment.

4. User Responsibilities

a. Accurate Information

Clients must provide complete and accurate booking, address, product, and compliance details.

b. Packaging & Compliance

• Shipments must be packaged and labeled as per FSSAI, transport, and safety regulations.

• ColdBox is not responsible for losses arising from improper packaging or incorrect temperature readiness at loading.

c. Prohibited Goods

Users must not ship illegal, hazardous, explosive, or restricted items.

d. Legal Compliance

Clients remain responsible for compliance with applicable laws including:

• Food Safety and Standards Act

• Drugs & Cosmetics Act

• Any other relevant statutory regulations

5. Bookings, Pricing & Payments

a. Pricing

Pricing is determined based on:

• Vehicle type

• Distance and route

• Temperature requirements

• Waiting time, tolls, parking, or special handling

Prices may be contract-based, quote-based, or dynamically calculated.

b. Invoicing

Invoices are shared via email or digital communication. Any discrepancies must be reported within 7 days.

c. Payment Terms

• Prepaid or credit-based terms as mutually agreed

• All charges are exclusive of GST and applicable taxes

d. Late Payments

ColdBox reserves the right to suspend services or recover dues in case of delayed payments.

6. Communication

• All official communication shall be in English.

• Notices shall be considered valid if sent via:

  • Registered email address, or

  • Last known physical address of the Client

Both modes carry equal legal validity.

7. Service Levels, Risk & Liability

• ColdBox operates on a best-efforts basis and does not guarantee timelines unless explicitly agreed in writing.

• Shipments travel at the Client’s risk, unless insured separately.

• Maximum liability, if any, shall be limited to the freight amount charged for the consignment.

• ColdBox shall not be liable for:

  • Indirect or consequential losses

  • Loss of business, profits, or market

  • Spoilage due to improper packaging or force majeure events

Optional insurance may be availed at the Client’s cost.

8. Cancellation & Rescheduling

• Cancellations or rescheduling before dispatch may be allowed without charge.

• Post-dispatch cancellations may attract minimum trip or cancellation charges.

• Cold logistics being time-sensitive, refunds are subject to operational feasibility.

9. Intellectual Property Rights

All intellectual property including website content, branding, design, text, graphics, and systems belong exclusively to Thermoforge Dynamics Private Limited.

Users are granted a limited, non-transferable license to use the Platform solely for availing services.
Unauthorized copying, scraping, or misuse is strictly prohibited.

10. Indemnity

You agree to indemnify and hold ColdBox harmless from any claims, damages, penalties, or losses arising due to:

• Breach of these Terms

• Shipping prohibited or non-compliant goods

• Misuse of services

• Violation of applicable laws

11. Governing Law & Dispute Resolution

• These Terms are governed by the laws of India.

• Any disputes shall be subject to courts in New Delhi, India.

• Parties shall attempt amicable resolution first. If unresolved within 30 days, disputes shall be referred to arbitration under the Arbitration & Conciliation Act, 1996, with a sole arbitrator appointed mutually.

12. Modifications

ColdBox reserves the right to update or modify these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.
